Jakarta, 30 July 2020 - PT Bank Central Asia Tbk (BCA) today holds an Extraordinary General Meeting (EGM) and shareholders give their consent to BCA’s plan to acquire PT Bank Rabobank International Indonesia’s (Rabobank) shares.
BCA and its subsidiary PT BCA Finance plan will acquire Rabobank's 3,719,069 (three million seven hundred nineteen thousand sixty nine) shares and 1 (one) share which account for all (100%) of the total shares issued and paid to Rabobank.
The total value of this acquisition will refer to a fixed premium of US$20.5 million plus a one-time adjusted book value on closing in September 2020
The plan to acquire Rabobank will have no material impact on the BCA’s capital. The funding required for the acquisition has been prepared individually.
After gaining approval from shareholders at the EGM, BCA will submit the required documents to the Financial Services Authority to gain official permit for the acquisition. The bank expects to see the acquicition completed by the third quarter of 2020.
